Terms of Service
This document defines the rules for using the services of Ambicja i Prawo Consulting and the principles of cooperation in M&A transactions.
1. General provisions
These terms define the rules under which Ambicja i Prawo Consulting, headquartered in Rzeszów at ul. Mickiewicza 21, provides legal consulting in the field of M&A processes. Using our services means accepting these rules. We focus on the specifics: our rules are clear and simple. We read contracts without ambiguity, so please familiarize yourself with the following points.
2. Scope of services
We provide consulting in acquisition processes, commercial contract negotiations, corporate audits, and company restructuring. We treat every order as an individual case, executed based on data provided by the client. Ambicja i Prawo Consulting undertakes to exercise due diligence in analyzing legal documentation.
3. Client obligations
As a client, you undertake to provide reliable, complete, and up-to-date information necessary for executing the ordered audit or negotiation. Failure to provide a complete set of documents within the set time may result in delays in the process, for which the office bears no responsibility.
4. Intellectual property
All studies, due diligence reports, and contract drafts prepared by our office constitute intellectual property. The client receives the right to use these materials solely for the purpose of the transaction they concern, without the right to further distribute them to third parties.
5. Limitation of liability
Information provided within our opinions is advisory and auxiliary in nature. Responsibility for final business decisions made based on the provided reports rests with the client. We bear no responsibility for the consequences of actions taken based on information that is incomplete or withheld by the client during the cooperation.
6. Settlements and payments
We settle based on rates set before starting the project. In the case of due diligence audits, we usually use a flat-fee model. Payments should be settled based on issued VAT invoices within 7 days of their issue, unless the contract states otherwise.
7. Termination of the contract
Each party has the right to terminate the cooperation with a notice period of 7 business days. In case of termination, the client is obliged to pay for work actually performed until the day of cooperation termination. Ambicja i Prawo Consulting may refuse further service if the client violates the rules of cooperation or withholds significant facts regarding the company.
8. Governing law
Any disputes arising from these terms or cooperation with Ambicja i Prawo Consulting will be resolved according to Polish law, with the local jurisdiction of the court in Rzeszów. We focus on concrete solutions to disputes through mediation before taking the case to court.
